Read Together With the Privacy Policy

These Terms govern the Website, Services, and messaging program. The Privacy Policy governs personal-information practices. Accepting either document does not itself create SMS consent.

1. Introduction and Acceptance of Terms

1.1 Who We Are and What These Terms Cover

Uberhaus LLC, operating under the Uberhaus brand (“Uberhaus,” “we,” “us,” or “our”), provides website creation and design, Business Profile Optimization, digital marketing, email marketing, AI receptionist services, and related software, communications, and automation services.

These Terms of Use (“Terms”) govern your access to and use of https://www.uberhaus.llc, associated Uberhaus agency pages and authorized client portals (the “Website”), and the services we provide (the “Services”). “You” means the person using the Website or Services and, where applicable, the business that person is authorized to represent.

By accessing or using the Website or Services, you agree to these Terms. Where affirmative acceptance is required, we obtain it through an acceptance control, order process, or signed agreement. If you do not agree, do not use the Website or Services. If you act for an organization, you represent that you have authority to bind it.

1.2 Relationship to Our Privacy Policy

These Terms and our Privacy Policy are separate documents intended to be read together. Our Privacy Policy is available at https://www.uberhaus.llc/privacy. It explains our collection, use, disclosure, retention, and protection of personal information and the privacy choices and rights available to you.

The Privacy Policy controls any conflict with these Terms concerning personal-information handling or privacy rights. Section 4 of the Privacy Policy controls any conflict concerning mobile information, SMS opt-in data, or messaging consent. Section 6 of these Terms supplements those protections with messaging-program terms. General licensing, disclosure, assignment, enforcement, and liability provisions do not authorize conduct prohibited by those protections.

The Privacy Policy is a privacy notice, not a consent mechanism. Using the Website or accepting either document does not itself create consent to SMS, email marketing, telephone solicitations, nonessential cookies, or another activity requiring separate consent. Nothing in these Terms waives nonwaivable privacy or other statutory rights.

1.3 Service Agreements and Separate Brands

A signed or electronically accepted proposal, order form, statement of work, subscription order, or other service contract (a “Service Agreement”) may establish additional terms. A Service Agreement controls conflicting commercial terms for the affected Services, including scope, pricing, schedules, and deliverable ownership. It cannot authorize practices prohibited by our mobile-data commitments or override mandatory law. A required data-processing agreement governs processing within its scope without reducing recipients’ rights.

These Terms apply to the Uberhaus agency business. A separately branded product or service displaying its own terms is governed by those terms; consent given to another brand is not consent to Uberhaus messaging.

2. Eligibility and Account Registration

2.1 Age and Authority

The Website, agency Services, and mobile-messaging programs are intended for adults and business users. You must be at least 18 years old and legally capable of entering a binding agreement to use them. Access is permitted only where lawful.

2.2 Account Responsibilities

Where account access is offered, you agree to:

  • Keep information accurate. Provide current registration, contact, and billing information and update it when necessary.
  • Protect credentials. Safeguard passwords and authentication methods, use available security controls, and do not share access with unauthorized people.
  • Manage authorized users. Give access only to people authorized to act for you and ensure they follow these Terms.
  • Report concerns. Promptly notify support@uberhaus.agency of suspected unauthorized access or account misuse.

You are responsible for activity you authorize and for losses attributable to your failure to exercise reasonable care over credentials, subject to applicable law. This does not make you responsible for losses caused by our own security failures or misconduct. Do not impersonate another person or misrepresent your affiliation.

3. Intellectual Property and Confidentiality

3.1 Uberhaus Materials

Uberhaus and its licensors retain rights in the Website and their original content, logos, trademarks, designs, marketing materials, templates, software, documentation, reusable workflows, and proprietary strategies and methods to the extent protected by law. Confidential methods and nonpublic know-how also remain subject to confidentiality obligations.

We grant you a limited, nonexclusive, nontransferable permission to access the Website for lawful use and to evaluate our Services. Except as authorized in writing or permitted by law, you may not copy, publish, distribute, sell, sublicense, modify, or commercially exploit protected materials. No ownership or trademark rights are transferred merely by accessing the Website.

3.2 Client Materials and Deliverables

You retain rights in the materials, customer data, and brand assets you provide. You grant us a limited right to use those materials only as reasonably necessary to perform and support the agreed Services. You represent that you have the required rights and permissions. This permission does not authorize independent marketing use of personal information or transfer of SMS consent.

Deliverable ownership and licensing are governed by the Service Agreement. Unless it states otherwise, after full payment you receive a nonexclusive right to use final deliverables for their agreed business purposes. Uberhaus retains pre-existing and reusable tools, templates, underlying methods, and components. Source files and ownership transfers are included only when expressly agreed. Hosted functionality and software access remain subject to the applicable subscription term. Third-party content, fonts, stock assets, and software remain subject to their license restrictions.

Client-owned domains, business profiles, advertising accounts, and similar assets remain the client’s property. Setup, administrative access, credentials, and transfer assistance are handled under the Service Agreement and relevant platform rules. We will not publish your name, logo, or confidential results as a testimonial or case study without permission.

3.3 Confidentiality

Each party will protect the other’s nonpublic information identified as confidential or reasonably understood to be confidential, use it only for the business relationship, and disclose it only to authorized personnel, advisers, or providers who need it and are subject to appropriate confidentiality duties. Lawfully compelled disclosures are permitted, with notice where legally allowed.

These obligations do not cover information independently developed, lawfully received without restriction, previously known without a duty of confidentiality, or made public without a breach. Personal information remains subject to the Privacy Policy and applicable processing agreements. Legally required records and minimal opt-out suppression records may be retained as described in the Privacy Policy.

4. Permitted and Prohibited Uses

4.1 Permitted Use

You may use the Website and Services to obtain information, communicate with Uberhaus, manage an authorized account, and conduct lawful activities within your agreed service scope.

4.2 Prohibited Conduct

You must not use the Website or Services to:

  • Spam or misuse consent: Send unsolicited or unlawful communications; rely on purchased, rented, shared, or transferred SMS consent; ignore opt-outs; or contact recipients outside the permission they provided.
  • Scrape or harvest: Use bots, scripts, or automated tools to extract content, contact details, or other data without written authorization, except where legally protected.
  • Reverse engineer or bypass controls: Attempt to discover nonpublic source code, defeat access restrictions, or circumvent licensing, security, rate limits, or carrier filtering, except where law expressly permits otherwise.
  • Conduct deceptive marketing: Create fraudulent offers, fake reviews, phishing campaigns, impersonation, misleading claims, or deceptive lead-generation practices.
  • Compromise systems: Introduce malicious code, access another user’s data without authority, disrupt networks, or misuse credentials.
  • Violate rights or restrictions: Infringe intellectual property, privacy, or confidentiality rights; distribute unlawful content; or resell access without permission.

Nothing here prohibits truthful reviews, lawful security disclosures, reports to authorities, or other legally protected conduct.

4.3 Client Campaign Compliance

Clients must provide accurate claims and registration information, obtain necessary permissions, and follow applicable advertising, privacy, recording, and communications requirements. These include the TCPA, CAN-SPAM Act, applicable state laws, and relevant CTIA, carrier, and messaging-platform requirements where applicable.

You must maintain required consent evidence, honor suppression requests, and cooperate with reasonable compliance reviews. Uberhaus may reject or pause a campaign when consent cannot be established or the activity presents a reasonable legal, security, or platform-compliance concern. Each party remains responsible for its own conduct; our tools do not substitute for required consent or lawful campaign practices.

5. Client Services, Payments, and Software Access

5.1 Scope and Client Cooperation

Your Service Agreement identifies deliverables, fees, schedules, responsibilities, and any service commitments. Additional work requires additional agreement. Timelines depend on timely access, information, approvals, and materials from you. We will communicate material schedule changes; no additional work is authorized merely because it may be useful.

Unless expressly included, advertising spend, domains, hosting, third-party subscriptions, carrier or registration charges, messaging usage, and similar outside costs are separate from our service fees and must be disclosed or authorized before being incurred on your behalf.

5.2 Fees, Invoices, and Payment Authorization

You agree to pay the charges and applicable taxes disclosed and accepted in your Service Agreement or order. One-time projects may use deposits or milestones; subscriptions use the accepted billing interval; usage-based Services use the disclosed rates. Invoice due dates follow the accepted agreement or order.

Recurring or usage-based payments require the applicable authorization. Accepting these Terms alone does not authorize an undisclosed charge or automatic renewal. Payment processors, including Stripe or PayPal where offered, may process payment information under their own terms and privacy notices, as explained in our Privacy Policy.

Report a disputed charge to support@uberhaus.agency with enough information to identify it. We will review good-faith billing concerns. Contacting us does not replace or shorten statutory or card-provider dispute rights. We may suspend affected Services for undisputed overdue charges after reasonable notice and an opportunity to resolve the issue.

5.3 Subscriptions, Renewals, and Price Changes

A subscription renews automatically only when its renewal terms were clearly disclosed and affirmatively accepted. The order identifies the recurring amount or calculation method, billing interval, renewal term, and cancellation method. Any trial or introductory price must disclose what happens when it ends.

We provide required acknowledgments, reminders, renewal notices, and price-change notices. A price increase will not apply retroactively and will be disclosed before the affected charge, with an opportunity to cancel. We will not materially reduce an already-purchased service commitment during its current term except as agreed or legally required.

5.4 Cancellation

To cancel a paid Service, email support@uberhaus.agency. You may also use an online cancellation control where provided. For eligible online consumer subscriptions, we provide an online cancellation method that does not require a telephone call or an obstructive retention process. We apply any additional cancellation protections required by law.

Unless a clearly disclosed and accepted Service Agreement provides otherwise:

  • Recurring Services: Cancellation stops the next renewal; access continues through the current paid period, subject to justified suspension under these Terms.
  • Fixed-term commitments: A minimum term or early-termination charge applies only if disclosed and accepted before purchase and legally enforceable.
  • Project work: You remain responsible for work already performed and reasonable, documented, nonrecoverable third-party commitments you authorized.
  • Effective cancellation: The effective date of a valid cancellation request does not depend on when we send our acknowledgment.

An SMS opt-out does not cancel a paid Service. Canceling a paid Service does not by itself change separate marketing preferences; any accompanying request to stop communications will be honored.

5.5 Refunds and Unearned Amounts

Except as otherwise stated in the accepted Service Agreement or required by law, fees for completed work, delivered Services, and incurred usage are nonrefundable. A current subscription period is not prorated solely because you cancel before it ends.

Project deposits are reconciled against completed work and authorized, nonrecoverable costs; any remaining unearned balance is refunded. A cancellation-related third-party charge is refundable to the extent recoverable, unless law or our own obligations require otherwise.

If we discontinue prepaid Services without your breach and do not provide an agreed substitute, we refund the unused prepaid portion attributable to those Services. These provisions do not waive remedies for our breach or mandatory cancellation, refund, or payment-dispute rights.

5.6 Software, Hosting, and External Platforms

Software or hosted access is licensed, not sold, for the authorized users, scope, and subscription period. You may not share, sublicense, or resell access except as agreed. No continuous availability, support response time, backup schedule, or service-level credit is promised unless stated in a Service Agreement.

Services may use HighLevel, GoHighLevel, LeadConnector, AI or communications providers, and other platforms described in our Privacy Policy. External systems may require separate accounts and terms. We do not control their independent infrastructure, filtering, pricing, account approvals, or policy changes. This does not excuse obligations we expressly assume or responsibility imposed by law for providers acting on our behalf.

5.7 Client Data and Transition

When processing data solely for a business client, we act under that client’s lawful instructions, applicable agreements, and law. The client’s privacy notice ordinarily governs its own collection and use. These Terms do not replace a required data-processing agreement.

Data export, transition assistance, and access after termination follow the Service Agreement and applicable platform capabilities. Request needed exports before access ends; no indefinite hosting or archival access is promised. Account closure does not automatically erase records. Retention, deletion, and minimal SMS suppression records remain governed by the Privacy Policy, lawful client instructions, and applicable law.

5.8 AI Receptionists, Automation, and Recording

AI-generated responses, drafts, routing, and other automated outputs may contain errors and require appropriate human review. Clients are responsible for approving their instructions, public claims, and workflows; Uberhaus remains responsible for review or configuration work it expressly agrees to perform.

AI and messaging features are not emergency services or substitutes for qualified professional judgment. Call recording, transcription, and similar processing require the notices and consent described in our Privacy Policy and applicable law. Using the Website or accepting these Terms is not blanket consent to recording or automated promotional calls.

6. SMS and Mobile Messaging Terms

6.1 Program Identity and Message Categories

Program name: Uberhaus Mobile Messaging Program. Operator and sender: Uberhaus LLC, under the Uberhaus brand. These terms cover Uberhaus SMS and MMS messages, including programs using A2P 10DLC.

Depending on the permission you provide, messages may include inquiry responses; consultation and appointment scheduling; confirmations and reminders; quote or proposal follow-up; account and project updates; customer support; billing or transaction notices; security or verification messages; and separately authorized marketing about Uberhaus Services and offers.

Enrollment in one category does not enroll you in every category. Promotional content requires the appropriate marketing consent, even when included with a service-related message. Messages may be recurring or sent using automated technology as disclosed at opt-in. Uberhaus identifies itself as sender except in a direct continuation of a conversation in which its identity is already clear.

6.2 How You Opt In

You opt in directly to Uberhaus through an affirmative action associated with a clear SMS disclosure. Depending on the program and methods actually offered, this may involve:

  • Website checkbox: Entering your mobile number, selecting a separate, initially unchecked SMS consent box, and submitting the form.
  • Disclosed signup form: Entering your number and submitting a form specifically requesting the described texts, with clear SMS disclosures next to the submission control. A general contact form is not enough.
  • Keyword enrollment: Sending the advertised keyword to an Uberhaus-controlled number after reviewing that program’s disclosures, and completing any required confirmation.
  • Signed authorization: Providing an electronic or written signature authorizing the identified messages.
  • Direct service request: Giving documented direct consent during an interaction where legally permitted, or specifically asking Uberhaus to text you for an identified purpose.

At enrollment, we identify the sender and message purposes, whether messages may be recurring or automated, expected frequency, potential carrier charges, opt-out and help methods, and links to these Terms and the Privacy Policy. Only enrollment methods meeting the requirements for the applicable message category are used.

For marketing texts, Uberhaus obtains prior express written consent, which may be electronic. A verbal conversation or request for a service response alone is not enough to enroll you in recurring marketing. Where needed, enrollment is completed through an appropriate electronic or written confirmation.

If you initiate a text conversation, we may respond to that inquiry. That exchange does not, by itself, authorize unrelated, recurring, or promotional texts.

6.3 Consent Is Separate, Specific, and Voluntary

Consent to receive marketing text messages is not a condition of purchasing any property, goods, or Services. SMS consent is separate from acceptance of these Terms or the Privacy Policy and from consent to email, telephone calls, or unrelated message categories.

Providing a number for billing, identity, account security, or a general inquiry does not automatically authorize recurring or promotional texts. Neither a prior business relationship, silence, inactivity, nor a pre-checked box creates the required opt-in.

Consent is limited to the consenting person, the identified number, Uberhaus as the sender, and the disclosed message subject. Consent cannot be purchased, assigned, transferred, or supplied by another company, affiliate, partner, client, or other third party. A number obtained from a referral or public directory is not SMS consent.

6.4 Message Frequency and Charges

Message frequency varies. Frequency depends on the program you select, your interactions, and relevant service activity. Any more specific frequency or limit disclosed at enrollment applies to that program.

Message and data rates may apply to messages sent to you and messages you send to us, according to your wireless plan. Uberhaus does not control carrier charges. Contact your wireless provider with questions about your text or data plan.

6.5 How to Opt Out

Reply STOP to cancel. You may reply STOP to an Uberhaus text at any time. We also honor commonly recognized requests, including UNSUBSCRIBE, STOPALL, CANCEL, END, QUIT, REVOKE, and OPT OUT, as well as other clear, reasonable requests to stop texting.

You may also email support@uberhaus.agency, preferably with the subject “SMS Opt-Out” and the mobile number to be suppressed, or submit the request through https://www.uberhaus.llc/contact. An exact email subject line is not required for a clear request to be honored.

We process opt-outs promptly and within applicable legal and provider deadlines. We suppress the number from further messages covered by the request. A clear request to stop all Uberhaus texts will not be treated as a request to stop only promotional messages. Where broader suppression is required, it will be applied.

We may send one final, nonpromotional confirmation of the opt-out; it will not contain an offer or attempt to persuade you to remain enrolled. No fee, account login, purchase, or explanation is required to opt out. Carrier charges may still apply under your plan.

An SMS opt-out does not automatically unsubscribe you from email or unrelated channels, which have separate preferences, unless you also request those changes or applicable law requires them. It does not cancel a paid Service or erase legally necessary records.

6.6 How to Get Help

Reply HELP for help. You may also email support@uberhaus.agency or use https://www.uberhaus.llc/contact for enrollment, delivery, or opt-out assistance. Requesting assistance does not enroll you in additional marketing or reverse an opt-out.

6.7 No Third-Party Marketing Use of Mobile Information

No Third-Party Marketing Use of Mobile Information

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Uberhaus LLC does not share, sell, rent, trade, transfer, or disclose mobile phone numbers, SMS/MMS opt-in information, text-messaging originator opt-in data, or consent records to third parties, affiliates, partners, clients, lead generators, or data brokers for marketing or promotional purposes under any circumstances.

All general disclosure categories in these Terms exclude text-messaging originator opt-in data and consent when the proposed use is marketing or promotion. We do not permit another entity to use consent given to Uberhaus to market that entity’s products or services. We do not buy, sell, rent, trade, assign, transfer, import, or export SMS consent.

Consistent with Section 4.5 of the Privacy Policy, telecommunications carriers, messaging aggregators, communications-platform and hosting providers, and compliance vendors may process limited mobile information only as reasonably necessary to deliver requested messages, operate the program, maintain consent and suppression records, provide support, secure systems, prevent abuse, troubleshoot, or comply with law.

Limited operational processing does not grant a provider independent marketing rights. Disclosures required by valid legal process remain subject to the Privacy Policy and applicable law and do not authorize promotional use. No general clause concerning vendors, advertising, enforcement, corporate transactions, or assignment creates an exception to this marketing prohibition.

6.8 Re-Enrollment and Program Changes

After opting out, you may receive recurring messages again only after a new, affirmative opt-in through an authorized Uberhaus enrollment method. A purchase, account login, Website visit, email inquiry, or acceptance of updated terms does not restore SMS consent.

We may modify or discontinue a program, subject to applicable notice requirements. We do not materially expand the sender, brand, or message subject without obtaining any new consent required by law or provider rules. Updating these Terms or the Privacy Policy does not create or expand consent.

6.9 Number Ownership, Consent Records, and Suppression

By opting in, you represent that you are the subscriber or customary user of the number and are authorized to consent. Notify us if your number changes or you stop controlling it. We may use reasonable measures to identify disconnected or reassigned numbers and avoid contacting an unintended recipient.

We retain consent evidence and minimal opt-out records as described in the Privacy Policy to demonstrate compliance, honor preferences, prevent accidental re-enrollment, and address legal or carrier inquiries. Deleting other account information does not require deleting a suppression record needed to avoid further messages.

6.10 Delivery and Carrier Disclaimer

Message delivery depends on carrier networks, device settings, coverage, and other technical conditions. Delivery and uninterrupted availability are not guaranteed, and the program is not an emergency service.

Carriers are not liable for delayed or undelivered messages. This provision applies only to the extent permitted by law and does not exclude any liability that cannot legally be excluded.

6.11 Separate Client Messaging Programs

When another business uses Uberhaus technology to operate its own messaging program, that business must be identified as the sender, obtain direct consent for its brand and message categories, provide its own applicable notices and terms, and honor opt-outs. Client consent cannot be repurposed for Uberhaus marketing, and Uberhaus consent cannot be repurposed for client marketing.

Clients must maintain appropriate records and satisfy the consent standard required by their messaging provider, including prior express written consent where required. Uberhaus may request supporting evidence or suspend noncompliant campaigns. Providing technology does not transfer consent or eliminate either party’s responsibility for its own conduct.

6.12 Privacy and Controlling Effect

For information about data collection, use, retention, security, and privacy rights, read https://www.uberhaus.llc/privacy. Section 6 of these Terms must be interpreted consistently with Section 4 of that Privacy Policy. No other provision of these Terms reduces the mobile-data protections or consent requirements stated in those sections.

7. Disclaimers and Limitation of Liability

7.1 Website and Service Warranties

To the fullest extent permitted by law, the Website and general informational content are provided “as is” and “as available.” Except for express commitments in a Service Agreement and nonwaivable legal duties, Services are provided without additional warranties, and we disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement to the extent legally permitted.

We do not promise uninterrupted or error-free operation, compatibility with every system, or that all third-party services will remain available. These disclaimers do not reduce the security, privacy, professional-performance, or other obligations we expressly undertake or that applicable law imposes.

7.2 No Guaranteed Marketing or Platform Results

Marketing results are not guaranteed. Unless expressly agreed in writing, we do not guarantee particular revenue, profit, lead volume, conversions, search rankings, advertising performance, audience growth, account approval, message delivery, or A2P 10DLC registration approval.

Forecasts, estimates, examples, and past results are not promises of future performance. Platform decisions, competition, budgets, customer behavior, and other conditions may affect outcomes. This does not excuse failure to perform agreed work.

7.3 Excluded Damages

Subject to Section 7.5, Uberhaus and its officers, employees, and authorized representatives are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the Website, Services, or these Terms, including consequential loss of profits, business opportunities, or goodwill, to the fullest extent permitted by law.

7.4 Aggregate Liability Limit

Subject to Section 7.5 and any different allocation in an applicable Service Agreement, our aggregate liability arising from the Website, these Terms, or the affected Services will not exceed the greater of (a) the fees you paid Uberhaus for the affected Services during the 12 months before the first event giving rise to the claim, or (b) US $100. This is an aggregate limit, not a separate limit for each claim.

7.5 Exceptions and Preserved Rights

The exclusions and limits above do not apply to our fraud, willful misconduct, gross negligence, or liability that applicable law prohibits excluding or limiting, including responsibility for violations of law to the extent nonwaivable. They do not eliminate express refund obligations or authorize a breach of our mobile-data restrictions.

Nothing here waives nonwaivable consumer, privacy, data-protection, or other statutory rights or remedies. Where a limitation is unenforceable, it applies only to the extent legally permitted. A conflicting, more protective data-handling commitment in the Privacy Policy is not displaced by a general disclaimer.

8. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Uberhaus and its officers, employees, and authorized representatives from third-party claims, resulting damages, and reasonable legal expenses to the extent caused by:

  • Your unlawful use or material misuse of the Website or Services, or material breach of these Terms.
  • Infringing, deceptive, or unlawful materials you supply or approve.
  • Your failure to obtain required communications consent or honor opt-outs for campaigns you control.
  • Your violation of another person’s legal rights.

This obligation does not apply to the extent a claim results from our own breach, negligence, or misconduct, and does not apply to your lawful exercise of protected rights.

We will provide reasonably prompt notice and reasonable cooperation at your expense. A notice delay reduces your obligation only to the extent it materially prejudices your defense. You may control the defense through competent counsel reasonably acceptable to us. We may participate at our own expense. No settlement may admit fault by us, impose obligations on us, or fail to release us from the covered claim without our written consent, which will not be unreasonably withheld.

9. Governing Law and General Provisions

9.1 Governing Law and Courts

Unless a valid Service Agreement states otherwise for the affected Services, these Terms are governed by California law and applicable United States federal law, without conflict-of-law rules that would require another jurisdiction’s law.

Subject to mandatory rights and any valid separate dispute agreement, disputes may be brought in state or federal courts in California having jurisdiction and proper venue, and the parties consent to those courts’ jurisdiction. This clause does not deprive you of a legally required local forum or mandatory protections in your jurisdiction. These Terms do not impose mandatory arbitration or a class-action waiver.

9.2 Informal Resolution and Legal Rights

Please direct concerns to support@uberhaus.agency so we can attempt a resolution. Doing so is not a prerequisite to exercising statutory rights, filing a timely claim, contacting a regulator, or seeking urgent relief. These Terms do not shorten an applicable legal limitation period.

9.3 Suspension and Termination

You may stop using the Website at any time; paid-service cancellation follows Section 5. We may restrict access or terminate affected Services for a material breach, fraud, unlawful messaging, serious security risk, or a legal or provider requirement. Where practicable, we provide notice and a reasonable opportunity to cure. Immediate action may be necessary to prevent harm.

If we end a paid Service for convenience, we provide reasonable notice and handle unused prepaid amounts under Section 5.5. Ending access does not erase privacy duties, valid opt-outs, accrued obligations, or other provisions intended to survive. It does not authorize indefinite data retention contrary to the Privacy Policy.

9.4 Changes and Electronic Notices

We may update these Terms and revise the Last Updated date. Material changes receive additional notice where appropriate or legally required. Changes apply prospectively; we obtain affirmative acceptance when required. We will not retroactively change completed transactions or use a Website update to reduce an existing fixed-term commitment without agreement or legal necessity.

We may provide account and contractual notices through the Website, an authorized portal, or your designated email, where lawful, and in paper form where required. This does not enroll you in marketing or authorize texting outside Section 6. SMS and other consent-dependent activities require their own valid consent.

9.5 Assignment and Events Outside Reasonable Control

You may not assign these Terms or account access without written consent, except where law permits. Uberhaus may assign contractual rights and obligations in a legitimate business transaction subject to applicable law and the Privacy Policy. An assignment does not transfer SMS consent, authorize marketing by a different sender, or reduce our mobile-data commitments.

Neither party is responsible for delay caused by an event beyond its reasonable control to the extent legally permitted, provided it takes reasonable steps to limit the impact and resume performance. This does not excuse payment for completed work, required refunds, or nonwaivable privacy, security, and other legal duties.

9.6 Entire Agreement, Severability, and Survival

These Terms and applicable Service Agreements constitute the agreement concerning their subject matter. The Privacy Policy remains the controlling privacy notice as specified in Section 1.2; an entire-agreement clause does not override it. The parties are independent contractors unless expressly agreed otherwise.

If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law. Failure to enforce a provision is not a waiver. Accrued payment duties, intellectual-property rights, confidentiality, valid liability allocations, indemnification, dispute provisions, and continuing privacy and opt-out protections survive as appropriate.
